These Terms of Service ("Terms") govern your access to and use of MSPA Teams, operated by MedSpa Performance Academy ("MSPA," "we," "us," or "our"). Please read these Terms carefully before using our platform.
By accessing or using MSPA Teams, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our platform.
1. Use of the Platform
MSPA Teams is a staffing intelligence platform designed exclusively for med spa owners and operators. You may use our platform only for lawful purposes and in accordance with these Terms.
You agree not to:
- Use the platform in any way that violates applicable federal, state, or local law
- Share your account credentials with unauthorized third parties
- Attempt to gain unauthorized access to any part of the platform
- Use the platform to store or transmit patient Protected Health Information (PHI)
- Reproduce, duplicate, or resell any part of the platform without express written permission
2. Subscriptions and Billing
MSPA Teams is offered on a subscription basis. By subscribing, you agree to pay the applicable fees for your selected plan.
- Founding Member rate ($197/month): This rate is locked for life for qualifying founding members and will not increase as long as your subscription remains active and in good standing.
- Standard rate ($397/month): Applies to subscriptions initiated after founding member spots are filled.
- Subscriptions automatically renew each month unless cancelled before the renewal date.
- All fees are non-refundable except as required by law or as expressly stated in these Terms.
- We reserve the right to change pricing with 30 days notice. Founding Member rates are exempt from price increases.
3. Founding Member Terms
Founding Member status is granted to subscribers who join during the founding period at $197/month using the FOUNDER25 promotional code. Founding Member benefits include:
- Rate locked at $197/month for the life of the subscription
- Early access to all new features
- Direct line to the founding team
- 90-day onboarding support
Founding Member status is non-transferable and applies only to the original subscribing account. Cancellation of a Founding Member subscription forfeits the locked rate permanently.
4. Hiring Assist and Full-Service Placement
Tier 2 (Hiring Assist) and Tier 3 (Full-Service Placement) services are offered on a scope-based, per-engagement basis. Specific terms, pricing, and deliverables for these services are governed by a separate Statement of Work agreed upon prior to engagement.
Full-Service Placements include a 90-day replacement guarantee. If a placed candidate does not remain in the role for 90 days, MSPA will conduct a replacement search at no additional fee. This guarantee is subject to the terms of the applicable Statement of Work.
5. Your Content
You retain ownership of all content you upload or create within MSPA Teams, including employee files, job descriptions, interview scorecards, and HR documentation. By uploading content to our platform, you grant MSPA a limited license to store, process, and display that content solely for the purpose of providing the platform services to you.
You are solely responsible for ensuring that any content you upload complies with applicable law, including employment law and privacy regulations.
6. HIPAA and Data Security
MSPA Teams operates under a HIPAA-compliant infrastructure with full encryption and a Business Associate Agreement (BAA) in place. While our platform is designed for HR and staffing purposes — not for storing patient PHI — we maintain HIPAA-level security standards for all data on our platform.
You agree not to upload patient Protected Health Information to MSPA Teams. The platform is designed for employee and HR data only.
7. Intellectual Property
The MSPA Teams platform, including all content, features, frameworks, methodologies, and technology, is owned by MedSpa Performance Academy and protected by copyright, trademark, and other intellectual property laws.
This includes but is not limited to: the Dream Interview System, the ALIGN Review framework, Culture Club methodology, and all associated educational content. You may not reproduce, distribute, or create derivative works from any MSPA proprietary content without express written permission.
8. Disclaimers
MSPA Teams is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.
MSPA Teams provides staffing frameworks and tools for informational and operational purposes. Nothing on the platform constitutes legal, HR, or employment law advice. You should consult qualified legal counsel for employment-related legal matters.
9. Limitation of Liability
To the maximum extent permitted by law, MSPA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability to you for any claims arising from these Terms or your use of the platform shall not exceed the total fees paid by you in the three months preceding the claim.
10. Termination
You may cancel your subscription at any time through your account settings or by contacting us at george@mspacoach.com. Cancellation takes effect at the end of the current billing period.
We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or any conduct that we determine to be harmful to the platform or other users.
11. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of King County, Washington.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our platform. Your continued use of MSPA Teams after changes take effect constitutes acceptance of the revised Terms.
